 1. Introduction

1.1 These Terms & Conditions govern the referral scheme(“Scheme”) operated by [Service Provider] (“we”, “us”, “our”).
1.2 By participating in the Scheme, referrers agree to comply with these Terms & Conditions.

2. Eligibility to Participate

2.1 The Scheme is open to bona fide members of the professional energy community.
2.2 Employees of companies are not eligible to refer their own company.
2.3 We may refuse to accept anyone under the referral scheme who in our sole discretion does not meet the eligibility criteria.
2.4 This referral scheme is limited to making up to five referrals by any referrer. Please contact us if you wish to make more than five referrals.

3. Referral Criteria

3.1 Referrers must provide the full name, job title, organisation name, valid email address, and phone number of a valid point of contact in a potential new member organisation (“Referred Organisation”).
3.2 The Referred Organisation must not already be a member of our service or actively engaged in discussions to become a member at the time of the referral. 3.3 The Referred Organisation must start either a full or trial membership within 14 days of being contacted by us upon your referral.
3.4 The Referred Organisation must move from a trial agreement onto a contract for a minimum 12-month subscription within 90 days of the initial contact by us.

4. Referral Reward

4.1 If the conditions in Clauses 2 and 3 are met, the referrer will be eligible for a referral fee equivalent to 10% of all fees due to us in the first 12
months by the Referred Organisation, including any trial period.
4.2 The referral fee will be paid only after at least the first payment of the full subscription as well as all fees payable under any trial period of the Referred Organisation have cleared.
4.3 The referral fee will be paid only if the Referred Organisation does not cancel their subscription before the first full payment is made.

5. Payment Terms

5.1 Upon fulfilment of relevant conditions, a referral payment will be made via direct bank payment at the later of 90 days following the Referred
Organisation signing up to our service (trial or full subscription) and 30 days of the first full subscription payment clearing.
5.2 The total referral fee payable will not exceed the total fees paid by the Referred Organisation up to the point in time of the payment.
5.3 Referral fees are non-transferable and non-exchangeable.

6. General Terms

6.1 We reserve the right to verify or deny referrals and withhold payment if we suspect fraudulent, misleading or spamming behaviour in our sole discretion.
6.2 We may amend or terminate the Scheme at any time without prior notice, but such changes will not affect referrals already made under the existing Terms & Conditions where we have contacted the Referred Organisation.
6.3 Participation in the Scheme constitutes acceptance of these Terms & Conditions.
